Welcome to NAYMLIS. These Terms of Service ("Terms") govern your use of the NAYMLIS platform, accessible at app.naymlis.com and naymlis.com (the "Service"), operated by NAYMLIS ("we," "us," or "our").

By creating an account, you agree to these Terms. If you do not agree, do not use the Service.

1. About NAYMLIS

NAYMLIS is a music artist management platform that provides tools for releasing music, managing projects, tracking analytics, distributing content, and collaborating with teams. NAYMLIS operates on a non-exclusive, flat-fee subscription model -- we do not take a percentage of your revenue, royalties, or earnings.

2. Service Availability & Changes

The Service is subject to ongoing development and improvement. Features and functionality may be added, modified, or discontinued at any time without prior notice. While we strive to provide a reliable and high-quality experience, we do not guarantee that all features will always be available, fully functional, error-free, or uninterrupted at all times.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. By using the Service, you represent that you meet this requirement.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity under your account. While we implement reasonable security measures, we do not guarantee that the Service will be fully secure or free from unauthorized access.

5. Subscription Plans & Pricing

NAYMLIS offers the following subscription plans:

• Artist Plan (Monthly): $60 per month, billed monthly
• Artist Plan (Annual): $40 per month, billed annually at $480 per year
• Manager Plan (Annual): $70 per month, billed annually at $840 per year

Prices are in US Dollars and are subject to change. We will notify you of any price changes before your next billing cycle.

5.1 Flat-Fee Model

NAYMLIS charges a flat subscription fee only. We do not take any percentage of your revenue, royalties, streaming income, or any other earnings. All revenue generated from your music is yours. However, NAYMLIS does not control and does not guarantee payment amounts, reporting accuracy, or payment timelines from third-party platforms.

NAYMLIS does not charge distribution fees or take any percentage of your revenue. However, payments received by artists may reflect deductions applied by third-party aggregators and distribution partners prior to reaching NAYMLIS. Similarly, NAYMLIS does not charge fees on publishing royalties, though publishing entities, collection societies, and other partners involved in royalty collection may apply their own fees or commissions.

5.2 Auto-Renewal

All subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for each renewal period.

5.3 Failed Payments & Suspension

If a payment method fails or a charge is declined, we may suspend or restrict access to the Service until payment is successfully processed.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period.
• You will not be charged for subsequent billing periods.
• No partial refunds are provided for unused time within a billing period.

5.5 Refund Policy

Subscription fees are generally non-refundable. However, if you experience a billing error or technical issue that prevented you from using the Service, contact us at support@naymlis.com within 14 days of the charge, and we will review your request on a case-by-case basis.

5.6 Free Trials

If we offer a free trial, you may be required to provide payment information. If you do not cancel before the trial ends, your subscription will begin and you will be charged the applicable fee.

6. Content Ownership

6.1 Your Content

You retain all rights, title, and ownership of your music, recordings, artwork, metadata, and any other content you upload to NAYMLIS ("Your Content"). We do not claim any ownership interest in Your Content.

6.2 License to NAYMLIS

By uploading content to the Service, you grant NAYMLIS a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, distribute, and otherwise use Your Content solely for the purpose of providing and improving the Service (including distribution, monetization, and promotion through third-party platforms on your behalf). This license terminates when you remove Your Content or close your account, subject to reasonable time needed to process the removal.

6.3 Non-Exclusive Relationship

Your relationship with NAYMLIS is non-exclusive. You are free to use other distribution services, management platforms, or any other tools simultaneously. We do not require exclusivity of any kind.

6.4 Infringement Claims

If you believe that any content on the Service infringes your intellectual property rights, please contact us at support@naymlis.com with sufficient detail regarding the claim. We will review and may remove or restrict access to the content in accordance with applicable law.

6.5 Platform Streaming License

By uploading Content to the NAYMLIS platform, you grant NAYMLIS a non-exclusive, royalty-free, worldwide license to publicly perform and digitally transmit such Content via non-interactive streaming features within the NAYMLIS platform (including, but not limited to, radio-style or shuffle-based features), solely for the purpose of promoting and showcasing Content hosted on the platform.

This license applies only to streaming within the NAYMLIS platform and does not extend to on-demand or interactive streaming outside the scope of the Service, or to distribution beyond what is otherwise authorized under these Terms.

7. Analytics & Third-Party Data Disclaimer

NAYMLIS may provide analytics, insights, and data sourced from third-party providers. We do not guarantee the accuracy, completeness, or timeliness of such data. All analytics are provided for informational purposes only and should not be relied upon as the sole basis for business or financial decisions. NAYMLIS is not responsible for any decisions made based on such data. The Service does not provide legal, financial, or business advice.

8. Music Distribution

NAYMLIS provides tools to distribute your music to third-party streaming platforms and digital stores on your behalf. By using our distribution features, you acknowledge and agree to the following. For additional details, please review our Distribution Disclaimer.

8.1 Rights & Authorization

You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions required to upload, distribute, and monetize all content you submit. You are solely responsible for your content and any claims arising from it. You are solely responsible for all royalties, fees, and other payments owed to any third parties in connection with your content, including but not limited to producers, collaborators, songwriters, publishers, and performing rights organizations (PROs).

8.2 Role of NAYMLIS

NAYMLIS acts solely as a facilitator and distributor of your content. We do not own, control, or operate any third-party platforms and are not responsible for their actions, policies, or decisions.

8.3 Third-Party Platforms

Distribution is subject to the terms, conditions, and policies of third-party platforms (e.g., Spotify, Apple Music, etc.). These platforms may, at their discretion:

• Accept, reject, delay, or remove your content
• Modify metadata or formatting requirements
• Change their policies, features, or availability at any time

NAYMLIS does not guarantee acceptance, placement, or continued availability of your content on any platform. NAYMLIS does not guarantee any level of performance, including streams, revenue, audience reach, playlist placement, or engagement.

8.4 Distribution Timelines

Distribution timelines vary by platform and are not guaranteed. Delays may occur due to platform review processes, technical issues, or policy changes.

8.5 Royalties & Reporting

All royalties are collected, calculated, and paid by third-party platforms according to their own policies. NAYMLIS does not control and does not guarantee royalty amounts, reporting accuracy, or payment timelines.

8.6 Takedowns & Removals

Content may be removed or taken down by NAYMLIS or third-party platforms if it violates these Terms, infringes on intellectual property rights, or fails to comply with platform policies.

8.7 Platform Availability

While NAYMLIS aims to distribute to a broad network of platforms, availability of specific platforms or services is not guaranteed and may change at any time.

All distribution services are provided on an "as is" and "as available" basis without warranties of any kind.

9. Publishing Administration

NAYMLIS may provide publishing administration and royalty collection services ("Publishing Services"). Such services are provided on a best-efforts basis and are subject to third-party collection entities. NAYMLIS does not guarantee royalty collection, registration, reporting accuracy, or dispute resolution. You are solely responsible for rights, ownership, and royalty obligations related to your content.

10. Acceptable Use

You agree not to:

• Upload content that infringes on the intellectual property rights of others
• Upload content that is unlawful, defamatory, obscene, or harmful
• Use the Service to distribute malware, spam, or engage in phishing
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell, sublicense, or commercially exploit the Service without authorization
• Interfere with or disrupt the Service or its infrastructure
• Misrepresent your identity or affiliation with any person or entity

We may impose usage limits, rate limits, or restrictions on certain features or integrations to maintain platform stability, performance, and security. Excessive or abusive usage may result in temporary or permanent suspension or restriction of access to the Service.

11. Payment Processing

Payment processing is handled by Stripe, a third-party payment processor. By providing your payment information, you agree to Stripe's Terms of Service and Privacy Policy. NAYMLIS does not store your full credit card information on our servers.

12. Account Termination

12.1 By You

You may close your account at any time by contacting support@naymlis.com. Upon closure, your subscription will be cancelled and your data will be handled in accordance with our Privacy Policy. Data may be retained for a reasonable period following account closure in accordance with applicable law and legitimate business purposes.

12.2 By NAYMLIS

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use policy
• Engage in fraudulent or illegal activity
• Upload content that repeatedly infringes on others' rights
• Fail to pay subscription fees

We will make reasonable efforts to notify you before termination, except in cases of serious violations.

13. Limitation of Liability

To the maximum extent permitted by law:

• NAYMLIS is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not guarantee uninterrupted or error-free service.
• We do not guarantee that specific features or functionalities will operate as expected at all times or be fully accurate.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability to you for any claims arising from or relating to the Service is limited to the amount you paid to NAYMLIS in the 12 months preceding the claim.
• We are not responsible for the actions, availability, or policies of third-party platforms, payment processors, or distribution partners.

14. Indemnification

You agree to indemnify and hold harmless NAYMLIS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

15. Intellectual Property

The NAYMLIS name, logo, and all related trademarks, service marks, and trade dress are the property of NAYMLIS. You may not use our intellectual property without prior written consent.

16. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Texas.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Force Majeure

NAYMLIS shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to outages, failures of third-party services, natural disasters, acts of government, or network or infrastructure disruptions.

20. Entire Agreement

These Terms, together with our Privacy Policy, Distribution Disclaimer, and Publishing Administration Disclaimer, constitute the entire agreement between you and NAYMLIS regarding the Service.
